1. Purpose of This Agreement

This Research Use Agreement (“Agreement“) is a legally binding contract between you (“Buyer,” “Purchaser,” or “you“) and Kai Bio Labs (“Company,” “we,” “us,” or “our“). This Agreement establishes the terms, conditions, representations, warranties, and acknowledgments under which you may purchase products from Kai Bio Labs. By placing an order, creating an account, or purchasing any product from Kai Bio Labs, you confirm that you have read, understood, and agree to be bound by every provision of this Agreement.

This Agreement is designed to ensure that all products sold by Kai Bio Labs are used exclusively for legitimate scientific research purposes and to protect both the Buyer and Kai Bio Labs from liability arising from misuse of research compounds.

2. Definitions

  • “Compound” or “Product” means any research peptide, amino acid, chemical reagent, bacteriostatic water, or other material offered for sale by Kai Bio Labs.
  • “Research Use” means use exclusively for in vitro laboratory research, analytical chemistry, forensic analysis, educational demonstration, or other legitimate scientific investigation conducted in a controlled environment. Research Use expressly excludes any in vivo application, human consumption, veterinary application, diagnostic use, or therapeutic use.
  • “Buyer” means the individual or entity placing an order with Kai Bio Labs.
  • “End User” means the individual who will physically handle, use, or conduct research with the purchased Compound.
  • “COA” means Certificate of Analysis, a document reporting the results of quality control testing for a specific product batch.
  • “IRB” means Institutional Review Board. “IACUC” means Institutional Animal Care and Use Committee.

3. Acknowledgment of Research-Only Use

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT ALL PRODUCTS PURCHASED FROM KAI BIO LABS ARE SOLD EXCLUSIVELY FOR IN VITRO RESEARCH, ANALYTICAL, AND EDUCATIONAL PURPOSES.

You understand and agree that:

  • Products are chemical reagents intended for use in laboratory settings by qualified researchers.
  • Products are NOT manufactured, tested, labeled, or marketed as drugs, pharmaceuticals, biologics, dietary supplements, food additives, cosmetics, or consumer products.
  • Products have NOT undergone clinical trials for safety or efficacy in humans or animals.
  • Any use of products beyond the stated Research Use constitutes unauthorized misuse and a material breach of this Agreement.
  • Kai Bio Labs bears no responsibility for any consequences arising from the misuse of its products.

4. FDA Disclaimer

THE PRODUCTS SOLD BY KAI BIO LABS HAVE NOT BEEN EVALUATED, APPROVED, OR CLEARED BY THE U.S. FOOD AND DRUG ADMINISTRATION (FDA) OR ANY OTHER REGULATORY AGENCY WORLDWIDE.

  • Our products are NOT drugs as defined under Section 201(g) of the Federal Food, Drug, and Cosmetic Act (21 U.S.C. § 321(g)).
  • Our products are NOT dietary supplements as defined under the Dietary Supplement Health and Education Act (DSHEA) of 1994.
  • Our products are NOT food additives as defined under 21 CFR Part 170.
  • Our products are NOT medical devices as defined under Section 201(h) of the FD&C Act.
  • Our products are NOT approved for any diagnostic, prophylactic, or therapeutic use.
  • No statement on our Site or in our documentation should be construed as a claim that any product diagnoses, treats, cures, mitigates, or prevents any disease or medical condition.

5. No Medical Claims

Kai Bio Labs makes absolutely ZERO claims regarding the therapeutic, medical, diagnostic, or clinical efficacy of any product.

Any information provided on the Site regarding the biological activity, mechanism of action, or research applications of our products is derived from published scientific literature and is presented solely for informational and educational purposes. Such information:

  • Does NOT constitute medical advice, diagnosis, or treatment recommendations.
  • Does NOT imply that our products are suitable for human use.
  • Does NOT represent our products as having any therapeutic benefit.
  • Should NOT be relied upon as a substitute for professional medical advice.

6. Buyer Representations & Warranties

By purchasing any product from Kai Bio Labs, you represent and warrant that:

  1. Qualified Researcher: You are a qualified researcher, scientist, academic, laboratory professional, or an authorized purchasing agent acting on behalf of a recognized research institution, university, laboratory, pharmaceutical company, biotechnology company, chemical company, or other legitimate scientific organization.
  2. Research Use Only: You will use all purchased products exclusively for in vitro research, analytical purposes, forensic analysis, or educational demonstration in a controlled laboratory environment.
  3. No Human Administration: You will NOT administer, inject, ingest, inhale, apply topically, or otherwise cause any product to come into contact with any human body or body fluids in any manner whatsoever.
  4. No Animal Administration: You will NOT administer any product to any animal, including but not limited to companion animals, livestock, laboratory animals (unless you hold valid IACUC approval and all necessary regulatory permits, and the specific product is permitted for such use under applicable law).
  5. No Resale as Consumables: You will NOT resell, distribute, market, label, or transfer any product as a drug, pharmaceutical, dietary supplement, food additive, cosmetic ingredient, or any product intended for human or animal consumption.
  6. Legal Compliance: You will comply with ALL applicable federal, state, local, and international laws and regulations governing the purchase, importation, possession, storage, handling, use, transportation, and disposal of research chemicals and peptides.
  7. Institutional Approval: Where required by your institution or applicable regulations, you have obtained all necessary institutional approvals, including IRB (Institutional Review Board) and/or IACUC (Institutional Animal Care and Use Committee) approvals, prior to conducting any research with our products.
  8. Proper Handling: You will maintain proper storage conditions as specified in product documentation, handle products in accordance with applicable safety data sheets (SDS), and follow all recommended handling protocols.
  9. Age & Capacity: You are at least eighteen (18) years of age and have the legal capacity to enter into this Agreement.
  10. Accurate Information: All information you have provided to Kai Bio Labs, including your identity, affiliation, and intended use, is truthful, accurate, and complete.

7. Assumption of Risk

THE BUYER EXPRESSLY ASSUMES ALL RISK ASSOCIATED WITH THE PURCHASE, POSSESSION, STORAGE, HANDLING, AND USE OF ALL PRODUCTS PURCHASED FROM KAI BIO LABS.

You acknowledge that:

  • Research chemicals, including peptides, may pose inherent risks if improperly handled, stored, or used.
  • You have the knowledge, training, expertise, and equipment necessary to safely handle, store, and use the products you purchase.
  • You have reviewed and understand the safety data sheets (SDS) and all documentation associated with the products you purchase.
  • You accept full responsibility for any injury, damage, loss, or liability arising from your possession, handling, storage, or use of our products.
  • Kai Bio Labs shall not be responsible for any adverse outcomes resulting from research conducted with our products, regardless of the cause.

8. Release of Claims

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE, DISCHARGE, AND HOLD HARMLESS KAI BIO LABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS, AND ASSIGNS FROM ANY AND ALL CLAIMS, DEMANDS, ACTIONS, CAUSES OF ACTION, SUITS, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS’ FEES) ARISING OUT OF OR RELATING TO:

  • Your use or misuse of any product purchased from Kai Bio Labs.
  • Any injury, illness, disease, death, or property damage resulting from the use of our products.
  • Any regulatory action, investigation, fine, penalty, or sanction arising from your use or possession of our products.
  • Any third-party claim arising from your acts or omissions in connection with our products.
  • Any breach of your representations and warranties under this Agreement.

This release applies regardless of whether the claims arise from negligence, strict liability, breach of warranty, or any other legal theory.

9. Indemnification

You agree to indemnify, defend, and hold harmless Kai Bio Labs, its officers, directors, employees, agents, affiliates, suppliers, successors, and assigns from and against any and all third-party claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to: (a) your breach of any provision of this Agreement; (b) your use or misuse of any product; (c) your violation of any applicable law, regulation, or third-party right; (d) any claim that your use of a product caused injury, harm, or damage to any person, animal, or property; or (e) any misrepresentation by you regarding your identity, qualifications, affiliation, or intended use.

10. DEA & Controlled Substances

As of the date of this Agreement, none of the products currently offered by Kai Bio Labs are classified as controlled substances under the United States Controlled Substances Act (21 U.S.C. § 801 et seq.) or the Drug Enforcement Administration (DEA) schedules. However:

  • Regulatory classifications may change. The Buyer is solely responsible for monitoring regulatory developments and ensuring continued compliance.
  • Certain jurisdictions, including foreign countries and individual U.S. states, may impose additional restrictions on specific compounds. The Buyer is responsible for verifying the legality of purchase, importation, and possession in their jurisdiction.
  • If a product you have purchased becomes classified as a controlled substance, you are solely responsible for complying with all applicable requirements, including registration, recordkeeping, storage, and disposal requirements.

11. Product Purity Disclaimer

Kai Bio Labs provides Certificates of Analysis (COAs) for all products. COAs represent the results of quality control testing conducted on a specific batch at a specific point in time. You acknowledge and agree that:

  • COA results are batch-specific and may not be identical across different production batches.
  • Natural and unavoidable variation in purity, potency, and composition may occur between batches within our stated specifications.
  • Product stability and integrity may be affected by shipping conditions, storage conditions, and handling after delivery, which are beyond Kai Bio Labs’ control.
  • COAs are provided for informational purposes and do not constitute a guarantee of specific research outcomes or results.
  • Independent third-party testing by the Buyer is always recommended to verify product specifications for critical research applications.

12. No Guarantee of Research Outcomes

Kai Bio Labs makes no guarantee, warranty, or representation regarding the outcome of any research conducted with our products. Research results depend on numerous variables beyond our control, including but not limited to experimental design, technique, equipment calibration, environmental conditions, and researcher competency. Kai Bio Labs shall not be liable for any research failure, unexpected result, or inability to replicate published findings using our products.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law provisions. Any dispute arising under this Agreement shall be subject to the dispute resolution provisions set forth in our Terms & Conditions.

14. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, shall be severed. The remaining provisions shall continue in full force and effect. The invalidity of any provision in a particular jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.
